1. Acceptance of Terms

By creating an account or using Jenda, you confirm that you:

• Are at least 16 years of age
• Have the legal capacity to enter into a binding agreement
• Accept these Terms and our Privacy Policy
• Will use the Service only for lawful purposes

2. Description of Service

Jenda is a subscription tracking service that helps you manage and monitor your recurring payments. The Service includes:

• Email-based subscription detection via forwarding or Gmail integration
• AI-powered extraction of subscription details from emails and attachments
• Dashboard for viewing and managing subscriptions
• Payment calendar and cost tracking
• Reminder notifications

The Service is provided "as is" and we do not guarantee 100% accuracy in AI-extracted data. You are responsible for verifying and correcting any inaccuracies.

3. Account Registration

To use Jenda, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Pricing and Payment

4.1 Free Tier

Jenda currently offers a free tier with unlimited subscriptions. We reserve the right to introduce paid plans or modify the free tier at any time with reasonable notice.

4.2 Future Paid Plans

If we introduce paid plans, payment terms will be clearly communicated. You will have the option to continue with available free features or upgrade to a paid plan.

5. Your Content and Data

5.1 Ownership

You retain ownership of all content you submit to Jenda, including forwarded emails and subscription data.

5.2 License Grant

By using the Service, you grant us a license to:

• Process your emails and attachments to extract subscription data
• Store and display your subscription information
• Send you notifications related to your subscriptions
• Create anonymized datasets from your data (see Privacy Policy for details)

5.3 Prohibited Content

You agree not to submit content that:

• Violates any laws or regulations
• Infringes on intellectual property rights
• Contains malware or harmful code
• Is fraudulent or deceptive

6. AI Processing

Jenda uses artificial intelligence to extract subscription data from your emails. By using the Service, you acknowledge and agree that:

• Your email content and attachments will be processed by AI services (Google AI, OpenAI, Anthropic)
• AI extraction is not 100% accurate and may contain errors
• You are responsible for reviewing and correcting extracted data
• We are not liable for decisions you make based on AI-extracted information

7. Gmail Integration

If you choose to connect your Gmail account, you authorize Jenda to:

• Access your Gmail inbox in read-only mode
• Search for and read emails related to subscriptions
• Mark processed emails as read
• Store encrypted access tokens securely

You can disconnect Gmail access at any time through Settings. We do not store copies of your emails beyond what is necessary for processing.

8. Intellectual Property

8.1 Our Rights

The Jenda name, logo, website, application, and all related materials are owned by S&C Holding GmbH and protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

9. Prohibited Uses

You agree not to:

• Reverse engineer, decompile, or disassemble the Service
• Use automated systems to access the Service without permission
• Attempt to gain unauthorized access to our systems
• Use the Service to send spam or unsolicited communications
• Impersonate others or provide false information
• Use the Service for any illegal purpose
• Resell or redistribute the Service without authorization

10. Service Availability

We strive to provide reliable service but do not guarantee:

• Uninterrupted or error-free operation
• Compatibility with all devices or browsers
• Preservation of all data in case of technical failures

We may suspend or terminate the Service for maintenance, updates, or other reasons with reasonable notice when possible.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF AI-EXTRACTED DATA

We do not warrant that the Service will meet your requirements or expectations.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, S&C HOLDING GMBH SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Damages arising from reliance on AI-extracted data
• Missed payments or cancellation deadlines
• Unauthorized access to your account

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or EUR 100, whichever is greater.

13. Indemnification

You agree to indemnify and hold harmless S&C Holding GmbH, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service or violation of these Terms.

14. Termination

14.1 By You

You may terminate your account at any time through the Settings page or by contacting us. Upon termination, your data will be deleted within 30 days.

14.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice. We may also terminate the Service entirely with 30 days notice.

15. Changes to Terms

We may update these Terms from time to time. Significant changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the new Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of Austria, without regard to conflict of law principles.

Any disputes shall be resolved exclusively by the competent courts of Vienna, Austria.

For EU consumers: You may also be entitled to bring proceedings in your country of residence and use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and S&C Holding GmbH regarding the Service and supersede any prior agreements.
